By-Laws of the Sagadahoc County Republican Committee
Article I: NAME The name of this organization shall be the Sagadahoc County Republican Committee, herein referred to as the Committee.
Article II: MISSION
The Committee shall further the principles and ideals of the Republican Party through cooperation with and support of local, state and national Republican committees, members of the Maine State legislature, and all other applicable Party organizations.
Furthermore, it shall strengthen the Party in the county by encouraging all persons to register and enroll in the Party, encouraging voter turnout in all elections, and the recruiting, training, electing and supporting of Republican public office holders. To this end, they shall issue such publicity and arrange such events as may be deemed necessary in the furtherance of its purposes.
Article III: MEMBERSHIP
The membership of the Committee shall be as follows:
Section I: Two delegates from each municipality (town/city), plus one additional delegate for every 1,000 Republican enrolled voters, or portion thereof, in excess of the first 1,000 according to the most recent official figures available from the office of the Maine Secretary of State. Delegates shall be chosen as prescribed by each municipality in Sagadahoc County. These members shall serve a two-year term. If any municipality fails to so choose, then the County Caucus at the Republican state convention may elect any registered Republican resident of that municipality to the Committee. Municipal delegates shall be required to attend, on an annual basis, at least 60% of the Committee meetings. The municipal chairperson will be asked to replace delegates absent from more than 40% of the meetings.
In the case of vacancies for any reason, the municipal committee shall propose a new member in accordance with their own by-laws. In the event such municipal committee fails to act within a reasonable period of time (sixty days), the Committee shall accept any registered Republican resident of that municipality to fill the unexpired term.
Each municipal delegate to the Committee shall be entitled to one vote on all questions at any meeting. In the event that a duly chosen delegate shall not be able to attend a particular meeting his/her voting rights may be transferred to another registered Republican resident of that municipality chosen by all of the registered Republican residents of thatmunicipality presentatthatmeeting.

Section II: All Republican elected state and county officials, municipal chairpersons, and county residents who are members of the Republican State Committee shall be ex-officiomembers.
Ex-officio members shall be entitled to one vote on all questions at any meeting, IF PRESENT. No Ex-officio member shall be entitled to vote by proxy.
SectionIII: Theofficers,assetout inArticleIV,shallbefull members of the Committee. They shall be upheld to the same attendance standards as municipal delegates and shall be entitled to one vote on all questions at any meeting. In the event that an officer shall not be able to attend a particular meeting he/she may proxy his/her vote in writing on any specific issue through another officer.
Article IV: OFFICERS AND ELECTIONS
The officers of the Committee shall be a Chairperson, Vice Chairperson, Secretary, Treasurer and Finance Director, each having the powers and duties customarily applying to the respective office.
The officers shall be elected biennially by the delegates at the County Caucus during the State Convention. Nominees may be from outside the Committee membership. This meeting of the Committee shall be called to order by the senior State Committee person for this county, in attendance.
In the event of a vacancy in any of the officer positions for any reason, at any other time, it shall be the duty of the ranking officer to call for and convene a meeting of the County Committee for the election of a replacement. Said county meeting shall be held only after the due notice requirements set forth in Article VI are met, except that the pending election must be prominently highlighted in the call to meeting notice. The meeting shall be presided over by the ranking officer. As in the biennial election, nominees for replacement need not be Committee members. Election of such a replacement shall be by a majority of those Committee members present at the meeting, provided that such meeting shall consist of a quorum as set forth in Article VII.
Article V: EXECUTIVE COMMITTEE
The membership of the Executive Committee shall be as follows:
Section I: The officers of the County Committee as set out in Article IV. Section II: The current State Committeeman and State Committeewoman for Sagadahoc County.
Section III: The Chairperson may appoint up to two municipal delegates from the County Committee to serve on the Executive Committee except that the delegates may not be from the same municipality.
Section IV: The Executive Committee shall be empowered to act in the name of the Committee in such cases where a quorum cannot be obtained and the timeliness of action is necessary except that the Executive Committee shall not be authorized disbursement of funds in excess of 50% of the current on-hand balance until approved by the Committee as a whole. All decisions by the Executive Committee are by simple majority.
A meeting of the Committee may be held at any time upon the call of the Chairperson or by the Executive Committee, or upon written petition of at least six members of the Committee filed with the Secretary.
Duenotice ofanymeetingsoftheCommitteeshallbegivenatleast one week before such meeting is to be held. The notice shall contain the time and place of such meeting and, so far as possible, the purposes of such meeting.
"Robert's Rules of Order, Newly Revised" shall prevail at all meetings of this Committee.
Eleven members of the Committee shall constitute a quorum, provided that a majority of the Officers are present.
The County Chairperson shall appoint a By-Laws Committee to review these by-laws biennially and propose amendments. Proposed amendments may be enacted by a two-thirds vote of the membership in attendance of the Committee, provided a notice containing the proposed amendments is sent to each member at least thirty days before the day of such meeting.
